Terms of Service

These Terms of Service ("Terms") govern access to and use of the Anavai Incentive Compensation Management platform (the "Service"), operated by Anavai Technologies, an Udyam MSME Registered in Delhi, India (Proprietorship, GSTIN 07BBBPB9772P1Z4) ("Anavai", "we", "us"). By creating an account or otherwise using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent ("Customer").
1. The Service
The Service lets Customers design incentive compensation plans, configure payout curves and rules, and calculate payouts for their employees or sales representatives ("End Users") — via manual entry or CSV batch upload, with direct CRM synchronization available as an upcoming feature on select plans (see our Privacy Policy for how that data will be handled). The Service is currently in active beta: features, pricing, and reliability characteristics may change as it matures, and we do not yet guarantee a specific uptime or support response-time commitment (a formal SLA may be introduced for paid tiers in the future).
2. Accounts and organizations
Access to the Service is organized around Customer workspaces ("organizations"), managed via our authentication provider. Organization admins are responsible for the accuracy of the data they input or connect, for managing who has access to their organization, and for their End Users' compliant use of the Service. You are responsible for keeping your login credentials secure.
3. Customer data
Customers retain all ownership rights to the plan configurations and employee/rep performance data they input into the Service ("Customer Data"). We process Customer Data solely to provide the Service to that Customer, as described in our Privacy Policy. Customers are responsible for having the necessary rights and consents to upload their End Users' data into the Service, including where that data includes compensation or performance information about identifiable individuals.
4. Acceptable use
You agree not to: use the Service to store or process data you do not have the right to process; attempt to access another organization's data or bypass access controls; reverse-engineer or attempt to extract the underlying payout curve/calculation logic outside of normal use of the Service; or use the Service in a way that disrupts its operation for other Customers.
5. Subscriptions and billing
Certain features are gated by subscription tier. Billing terms (pricing, invoicing, and cancellation) for paid tiers will be confirmed directly with each Customer as part of onboarding, and specific commercial terms agreed in writing will take precedence over this general section where they conflict.
6. Third-party services
The Service relies on third-party providers for authentication, hosting, database storage, email delivery, and (for an optional AI assistant feature) large language model providers — see our Privacy Policy for details. We are not responsible for outages or issues originating from these third-party providers, though we will make reasonable efforts to communicate any material impact to Customers.
7. Disclaimers and limitation of liability
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, to the fullest extent permitted by applicable law. As an early-stage, sole-proprietorship-operated service, Anavai's total liability arising out of or relating to the Service is limited to the amount paid by the Customer for the Service in the three (3) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
8. Termination
Either party may stop using or discontinue offering the Service at any time. Upon termination, we will make Customer Data available for export for a reasonable period before deletion, unless legally required to remove it sooner.
9. Governing law
These Terms are governed by the laws of India, and any disputes arising out of or relating to them will be subject to the exclusive jurisdiction of the courts of Delhi, India.
10. Changes to these Terms
As the Service is in active development, these Terms may be updated from time to time. We will update the "Last updated" date above when we do, and will make reasonable efforts to notify Customer admins of material changes.
